Introduction and acceptance
These Terms and Conditions constitute a binding agreement between you, the user, and ThoughtAgile (also “TA,” “we,” “us,” or “our”), governing your access to and use of ThoughtAgile’s website, mobile applications, communications channels, and all related services and programs (the “Platform” and “Programs”). By accessing or using the Platform or enrolling in any Program, you agree to be bound by these Terms; if you do not agree, you must not access or use the Platform or Programs.
Changes to terms
ThoughtAgile may update these Terms at any time without prior notice, and your continued use of the Platform or Programs after such changes means you accept the updated Terms. You should review this page regularly and discontinue use if you do not agree with any modification.
Scope and third-party services
These Terms apply to all Platform touchpoints, including ThoughtAgile-hosted websites, apps, groups, pages, and official email/SMS/phone communications and forums. Certain Platform features are provided by third-party service providers, and your use of those features is subject to such third parties’ terms; ThoughtAgile is not responsible for disruptions caused by third-party providers.
Eligibility
By using the Platform, you represent that you are at least 18 years old or the age of majority in your jurisdiction and have legal capacity to enter a binding contract, or you are using the Platform under the supervision of a parent or legal guardian who accepts these Terms on your behalf. Programs are not intended for individuals under 18 years of age.
Account registration and user information
Registration of a personal account (“User Account”) may be required to access Programs and certain Platform features, and you agree to provide accurate, current, and complete information and to keep it updated. You agree to maintain the confidentiality of your credentials, not to share access with any third party, and to use only your own User Account; ThoughtAgile may terminate access if registration information is inaccurate or incomplete.
Privacy and data use
ThoughtAgile may collect and process personal information, including performance data in Programs, to provide services now and in the future and may share certain information with educational partners or third parties as described in the applicable privacy policy and notices. Even if your number is registered on DND/DNC/NCPR, you consent to receive service-related communications for purposes outlined in these Terms and associated policies, subject to applicable law.
Program access and participation
Access to Programs is restricted to users who have been specifically granted access by ThoughtAgile and is non-transferable. If you enroll as a student, you represent that you intend to complete assignments and other applicable components of the Programs.
Payments, billing, and taxes
Unless otherwise agreed in writing, full payment is required at the time of registration; in exceptional cases of access pending payment, ThoughtAgile may withdraw access if payment is not received within stipulated timelines. Payments may be processed via third-party gateways that may store data under their terms, and you agree ThoughtAgile is not liable for any losses arising from such storage; you are responsible for any payment-related fees, exchange charges, and applicable taxes based on your billing details.
Trials, refunds, and cancellations
Where available, any trial window is accessible only after full payment and refunds during the trial, if approved by ThoughtAgile per the applicable Program-specific refund policy, may be subject to deductions for administrative and marketing expenses; no refunds are permitted after the trial window closes. For Programs without a trial or preparatory session, refunds follow the Program-specific refund policy; participation may be terminated by you with prior notice subject to the applicable refund terms.
Scheduling and service changes
ThoughtAgile may cancel or reschedule Programs or live sessions, or modify schedules, assessment weights, or services, and may limit, suspend, or discontinue parts of the Platform or Program-related services at its sole discretion without liability. ThoughtAgile is not obligated to maintain or support any part of the Platform or Programs and is not liable for unavailability due to circumstances beyond its control, including force majeure events.
Technology and access requirements
You are solely responsible for procuring and maintaining devices, software, and connectivity required to access the Platform and Programs, ensuring compatibility, and bearing all related charges. Failure to maintain such prerequisites may impact your access without liability to ThoughtAgile.
Educational partners and credentials
ThoughtAgile may work with accreditation bodies and partners and may award credentials or acknowledgements at its sole discretion upon satisfactory completion of Program requirements, with formats and criteria varying by Program. Academic credit is not granted by ThoughtAgile, and any credit or certification from an educational partner is governed by that partner’s policies and records, not ThoughtAgile’s.
Intellectual property
All content on or through the Platform and Programs—including lectures, videos, assessments, materials, code, designs, and related elements—is owned by ThoughtAgile and/or licensors and is protected by applicable IP laws, with all rights reserved. ThoughtAgile names, logos, and marks are protected trademarks, and the Platform’s elements are protected by trade dress and other laws and may not be reproduced or distributed without express written consent.
License and permitted use
Subject to these Terms, ThoughtAgile grants a personal, non-exclusive, non-transferable, revocable license to access and use the Platform and Programs for non-commercial, personal purposes; you may download limited content for personal use while preserving all notices. You may not copy, resell, modify, distribute, create derivative works, reverse engineer, decompile, or otherwise exploit Platform software or content for commercial purposes beyond what is expressly permitted.
User content
You retain ownership of user-generated content you submit (“User Content”), but you grant ThoughtAgile a worldwide, perpetual, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, distribute, publicly perform, and display such content for any purpose, including commercial purposes. You represent that you have necessary rights to your User Content, that it is accurate, lawful, and non-infringing; ThoughtAgile may remove User Content at any time and bears no liability for errors, omissions, or damages arising from such content.
Prohibited activities and security
You must not engage in phishing, pharming, whaling, unauthorized access, vulnerability probing, service interference, spamming, header forgery, or use of bots or non-standard tools to navigate the Platform, and ThoughtAgile may report suspicious or illegal activity to authorities. Violations may result in civil or criminal liability, and ThoughtAgile may investigate and cooperate with law enforcement in prosecuting such conduct.
Content accuracy and corrections
The Platform or Programs may contain errors or inaccuracies and may not always be current, and ThoughtAgile reserves the right to correct or update information at any time, including post-order corrections. Users are encouraged to verify content and notify ThoughtAgile of any incorrect, infringing, or objectionable material.
Disclaimers
The Platform, Programs, and all information and content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ThoughtAgile does not warrant that services will meet requirements or be uninterrupted, timely, secure, or error-free, nor guarantee results or accuracy of information or correction of defects.
Limitation of liability
To the maximum extent permitted by law, ThoughtAgile and its affiliates, partners, employees, and suppliers shall not be liable for any indirect, special, incidental, or consequential damages arising from or related to use or inability to use the Platform or Programs, including lost profits, goodwill, data loss, work stoppage, or device failures. In no event shall ThoughtAgile’s aggregate liability exceed INR 1,000 or, for enrolled students, the fees you paid for the relevant Program, whichever is higher or as otherwise specified by applicable law or Program-specific terms.
Third-party links and relationships
Linked sites accessible through the Platform are not authored or controlled by ThoughtAgile, and ThoughtAgile does not endorse or assume responsibility for their content, products, or services, and may remove links at any time. ThoughtAgile is not liable for your transactions with third parties via linked sites or for any representations or information provided on such sites.
Linking to ThoughtAgile
You may not link to the Platform from other sites or services without prior written consent, and you must not imply endorsement, sponsorship, or support by ThoughtAgile or its partners without authorization. Any approval may be withdrawn at ThoughtAgile’s discretion.
Indemnification
You agree to indemnify and hold harmless ThoughtAgile and its partners from all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms, laws, third-party rights, or content you make available through the Platform or Programs. This obligation survives termination of your account or Program enrollment.
Termination and suspension
ThoughtAgile may deactivate your account or terminate or restrict access to the Platform or Programs, with or without notice, for reasons including violations of these Terms, IP infringement, unauthorized content, or conduct inconsistent with applicable codes or policies. ThoughtAgile may retain and store information in its systems notwithstanding termination as permitted by law and policy.
SMS and communications
By opting in, you agree to receive text messages about services, including reminders and updates, with message frequency varying and standard rates applying; reply STOP to unsubscribe and HELP for assistance. ThoughtAgile may share necessary messaging data with vendors who deliver messages but will not share SMS opt-in data with third parties for unrelated purposes or share originator opt-in data or consent beyond what is required to provide messaging services.
Governing law and dispute resolution
These Terms and any Program-specific terms are governed by the laws of India, with exclusive jurisdiction in the courts of [Bangalore or applicable city], subject to good-faith negotiations before arbitration under the Arbitration and Conciliation Act, 1956, as amended, before a sole arbitrator appointed by ThoughtAgile, in English, with the seat at [Mumbai or applicable city]. Conflict-of-laws principles do not apply, and parties agree to the specified forum and language for proceedings.
Force majeure
ThoughtAgile is not liable for delays or failures due to events beyond its reasonable control, including acts of God, war, civil unrest, terrorism, epidemics, governmental acts, strikes, or internet failures. Unauthorized alterations to these Terms via hacking or cracking are not the responsibility of ThoughtAgile.
Severability, waiver, and entire agreement
If any provision is found unlawful or unenforceable, it will be severed without affecting the remaining provisions, and no failure to enforce any right constitutes a waiver of that right. These Terms, along with Program-specific terms and posted policies, constitute the entire agreement between you and ThoughtAgile and may be modified only by written posting on the Platform or a specific written agreement with ThoughtAgile.
Assignment
ThoughtAgile may assign its rights or delegate obligations under these Terms freely, while you may not assign or transfer your rights or obligations without ThoughtAgile’s prior written consent; any unauthorized assignment is void. These Terms bind permitted successors and assigns subject to the foregoing.
